<p>It is a company created only to raise money and later buy or merge with a private company</p>
<p>It stands for Special Purpose Acquisition Company.</p>
<p>It has no business of its own.</p>
<p>A SPAC raises money from investors through an IPO, even before deciding which company to buy.</p>
<p>The funds are kept until the SPAC finds a company to buy/merge with, usually within 2 years.</p>

<p>L&amp;T: and US-based General Atomics will jointly manufacture MALE RPAS (aircraft systems) in India for the defence forces. L&amp;T will act as the prime bidder for the Defence Ministry’s 87-drone program.</p>
<p>Maruti Suzuki: net profit rose 8% year-on-year to Rs 3,349 crore in the July-Sept quarter.</p>
<p>Bharat Electronics: net profit rose 18% year-on-year to Rs 1,288 crore in the July-Sept quarter.</p>

<p>It is the government’s action to boost economic activity during a slowdown</p>
<p>This can be done by increasing public spending (like building infrastructure, giving subsidies, or cash transfers) or by cutting taxes so that people and businesses have more money to spend.</p>
<p>The aim is to create jobs, increase demand, and eventually revive economic growth.</p>
<p>Example: the Indian government introduced a fiscal stimulus package during the Covid 19 pandemic to help the economy recover.</p><h2>6 Day Course</h2><p>Theme: red flags while choosing stocks</p>
<p>Day 5: Friday</p>
<p>One of the biggest red flags is overvaluation.</p>
<p>After you have filtered companies for quality of management, accountability, debt, and others, you are actually left with a set of companies that are very clean.</p>
<p>But there’s a different red flag that a company’s management cannot do much about.</p>
<p>Many times, good companies get investment from many investors. This pushes the share price up.</p>
<p>After a certain limit, it reaches an overvalued state. At a very high value, investors may not make a lot of returns even if the underlying company is doing great.</p>
<p>Investors must avoid investing in overvalued stocks.</p>
<p>This is unfortunately not easy.</p>
<p>PE ratio is used by many to judge if a company is overvalued. That’s a good starting point but should not be treated as the only factor.</p>
<p>Future revenue, growth, human factors, customer preferences, etc must all be taken into account while trying to estimate if a company is overvalued or not.</p><h2>Featured Question</h2><p>“A company raises capital for future growth, then why is it that IPOs today are majorly OFS and the fresh issue part is just for namesake. Is it just to gain exponential for the early age investors at the expense of the retail investor”</p>

<p>IPOs have two kinds of shares:</p>
<p>Fresh issue: new shares are created and sold to IPO investors</p>
<p>OFS: Offer for Sale. It allows existing investors to sell their shares to IPO investors. No new shares are created in this process.</p>
<p>In a fresh issue, the money from the share sale goes to the company. It can use this for future growth.</p>
<p>In OFS, the money goes to existing investors who are selling shares. The company does not get this money.</p>
<p>These days, many IPOs consist of OFS + fresh issues.</p>
<p>One reason for OFS is that early investors (like venture capitalists) who invest in the early days of a start up want to take out money.</p>
<p>Many of them would have invested many years ago and want a return on their investment.</p>
<p>Often, these early investors push for an IPO because it allows them a way to encash their earnings.</p>
<p>Many of these companies have enough money for future growth and do not need any money.</p>
<p>Such companies’ IPOs have little to no fresh issue shares.</p>
<p>Now the question arises: why would early investors sell if the company’s future is good?</p>
<p>Different investors have different goals.</p>
<p>Early stage investors like extremely high-risk but high-growth investments.</p>
<p>They might not like the relatively slower growth experienced by listed companies.</p>
<p>This does not mean the company will not continue doing well.</p>
<p>Is only OFS a bad sign?</p>
<p>It is not necessarily a bad sign.</p>
<p>Many investors see IPOs with no fresh issue and only OFS as a strong signal — that the company does not need more money.</p>
<p>In case of venture invested companies, this is bound to happen.</p>
<p>Such early stage investors sell their shares during the IPO and use that money to invest in other small start-ups.</p>
<p>Unfortunately, there have been cases where companies with poor financial and business health had an IPOs to let early investors sell and exit.</p>
<p>In such cases the IPO investor does not gain much or may also suffer losses. </p>
<p>This is one of the main reasons why blindly investing in IPOs is never a good idea.</p>
<p>Investors should read the IPO documents (DRHP) carefully and understand the business and health of a company.</p>
<p>They must also try to understand if a company’s IPO price is overvalued, fairly valued, or undervalued.</p>
<p>Even healthy businesses can be overvalued. Investing in overvalued shares can give low returns.</p>
<p>Most companies do a fresh issue + OFS in IPOs because they need to raise some money while also letting early investors exit.</p>
<p>Many also do it simply to gain reputation. Doing an IPO ensures that companies are well audited regularly.</p>

<p>It means the fall in the ownership percentage of shareholders when a company issues new shares</p>
<p>Example: in a company, you own 10 out of the total 100 shares. This means you own 10% of the shares.</p>
<p>If the company issues 100 more shares, there are now 200 shares in total. You still own the same number of shares but your ownership percentage drops to 5%.</p>
<p>Stock dilution can happen when a company raises more money from new investors, gives shares to employees (ESOPs), or issues shares during mergers and acquisitions.</p>

<p>One of the most glaring red flags is when the people running a company cannot be trusted.</p>
<p>A promoter or senior executive who has a history of being unreliable is usually a big red flag.</p>
<p>Many times, such people who lack reputation can easily tamper records and accounts and make them look legitimate.</p>
<p>So even if a company’s numbers look good, the company itself might be terrible.</p>
<p>On similar lines, senior executives leaving the company all of a sudden is never a good sign.</p>

<p>They both are different.</p>
<p>Capital employed: it is the total assets used by a company to generate its revenue and profits.</p>
<p>This is after removing its liabilities.</p>
<p>So, let’s say a company’s total assets are worth Rs 100 crore (including cash, equipment, real estate, etc).</p>
<p>And it has to pay Rs 10 crore as its dues for a loan.</p>
<p>So, the total capital employed will be Rs (100 - 10) = Rs 90 crore.</p>
<p>Market cap or m-cap: it is the total value of all the shares of the company.</p>
<p>Say one share of a company costs Rs 100.</p>
<p>And the total shares of a company is 2 crore.</p>
<p>So the market cap of the company = Rs (100 x 2 crore) = Rs 200 crore.</p>

<p> </p><h2>Stocks Updates</h2><p>L&amp;T: net profit rose 16% year-on-year to Rs 3,926 crore in the July-Sept quarter. It also received large orders ranging from Rs 2,500 crore to Rs 5,000 crore in Saudi Arabia to build a 380 kV substation and 420 km transmission lines.</p>
<p>BHEL: net profit rose 253% year-on-year to Rs 375 crore in the July-Sept quarter.</p>
<p>Varun Beverages: net profit rose 20% year-on-year to Rs 7,412 crore in the July-Sept quarter. The company will also incorporate a wholly owned subsidiary in Kenya for beverage manufacturing.</p>
<p>JSW Steel: increased its economic interest in Illawarra Metallurgical Coal to 30% (from 20%) through a $60 million investment via its subsidiary JSW Steel Netherlands.</p>
<p>Mazagon Dock: signed an agreement with Swan Defence to jointly build Landing Platform Docks (LPDs) for the Indian Navy under a public-private partnership.</p>
<p>Titan: company’s subsidiary, Titan Holdings International FZCO, acquired Signature Jewellery Holding in the UAE, making it a step-down subsidiary to manage Damas Jewellery business in the Gulf Cooperation Council (GCC) region.</p>

<p>It is an investment fund created and managed by a country’s government</p>
<p>It is a fund built with surplus money in the country — such as earnings from oil, natural resources, or forex reserves.</p>
<p>They invest in assets like stocks, bonds, real estate, infrastructure or other global assets to diversify and have stability in times of uncertain economic conditions.</p>
<p>They generate long term returns for the country.</p>
<p>Example: Norway’s Government Pension Fund Global, is one of the largest SWFs globally. Its funds mainly come from surplus from the country’s oil sector.</p>

<p>Anything to do with lack of transparency can be a red flag.</p>
<p>As a shareholder you are entitled to the most necessary and basic information about a company.</p>
<p>Practices like accounting that hides real numbers, high ‘other expenses’ that are not explained, large changes/edits of records without justification, etc are classic examples of this.</p>
<p>Confusing or vague explanations, using complicated language that is difficult to understand by a large number of investors are also clear signs of lack of transparency.</p>
<p>A solid reason must exist if the management does not provide good guidance for future revenue and direction.</p>
<p>If no clear reason is mentioned, it is a red flag.</p>
<p>Sudden and unexpected resignation of senior executives without proper explanation or reason is also seen as lacking transparency.</p>

<p>It is the gradual decrease in the value of an asset over time</p>
<p>This could be due to wear and tear, usage, or ageing.</p>
<p>Example: if a company buys a machine for Rs 10 lakh, its value won’t stay the same after a few years. The value will reduce as the machine is used. That reduction in value is called depreciation.</p>
<p>Accounting for depreciation helps companies spread the cost of an asset over its useful life instead of recording it all at once.</p>

<p>A declining revenue is not good news.</p>
<p>But that however is not a red flag. Revenues can decline due to various reasons that has nothing to do with the company.</p>
<p>But a consistent decline in revenues — quarter after quarter, year after year, can signal something wrong.</p>
<p>Investors must investigate why the decline is occurring.</p>
<p>Similarly, a more subtle red flag is reducing profit margins.</p>
<p>If a company is making less profit for the same revenue consistently, something might be wrong.</p>
<p>If a competitor is causing the above two, then investors must ask themselves if the company has the ability to fight the increased competition.</p>
<p>If it is because of internal issues, it is an even bigger red flag.</p>
